2. Services Provided

ScaleUp Studio offers digital marketing, social media management, SEO, SEM, web development, graphic design, video production, advertising, and related creative services. The scope of work will be clearly defined in the agreement or proposal shared before the start of any project.

3. Client Responsibilities

• Provide accurate information, materials, and approvals required to execute projects.

• Ensure that all content provided does not infringe any third-party rights or violate applicable laws.

• Timely communication and approvals are essential for smooth delivery of services.

4. Payments & Fees

• All payments must be made as per the agreed proposal, invoice, or contract.

• Services will not commence until the advance payment (if applicable) has been received.

• Late payments may result in delays, suspension, or termination of services.

• All fees once paid are non-refundable, unless explicitly agreed otherwise in writing.

5. Intellectual Property

• All creative work produced by ScaleUp Studio (including designs, campaigns, graphics, and strategies) remains our intellectual property until full payment has been made.

• After complete payment, ownership of final deliverables will transfer to the client unless otherwise stated.

• ScaleUp Studio reserves the right to showcase completed work in its portfolio, social media, and marketing materials.

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive business information, data, or strategies shared during the course of the project, unless written consent is provided.

7. Limitation of Liability

• ScaleUp Studio is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

• We are not responsible for technical issues, third-party service interruptions (such as hosting or ad platforms), or client-side errors.

8. Revisions & Delivery

• Revisions are limited to the scope defined in the proposal/contract. Additional revisions may be chargeable.

• Delivery timelines depend on timely feedback and approvals from the client.

9. Third-Party Services

• We may use third-party platforms (such as Google Ads, Meta Ads, hosting providers, etc.) while delivering services.

• ScaleUp Studio is not liable for downtime, policy changes, or technical errors caused by such third-party providers.

10. Termination of Services

• Either party may terminate the agreement with written notice.

• In case of termination, the client is responsible for payments of all completed work until the termination date.

11. Governing Law

These Terms & Conditions are governed by the laws of India, and any disputes will be subject to the jurisdiction of the courts in Ambedkar Nagar, Uttar Pradesh.
